Delivery – Risk

Unless otherwise reasonably indicated by AALF, the delivery dates of the Products shall be those indicated by AALF to the Buyer at or before the submission of each Purchase Order Proposal (P.O.A.). Such delivery dates represent the best possible estimate based on the conditions existing at the time. AALF shall not be liable for carrier delays and/or delays due to force majeure.

Deliveries to post offices are expressly prohibited.

If the Buyer unjustifiably delays, refuses, or revokes delivery of the Products, or fails to collect them at the place of delivery, AALF shall not be held liable.

AALF shall be entitled not to commence production of the ordered Products for which a Confirmation of Acceptance (C.O.A.) has been issued, and therefore to postpone the delivery date at any time, if the Buyer is in default under any other Contract.

AALF reserves the right to make partial deliveries as soon as Products become available, including prior to the scheduled delivery date.

All orders shall be delivered by AALF to the carrier Monday through Friday between 9:00 a.m. and 5:00 p.m. The delivery address cannot be changed after shipment. AALF will provide the shipment tracking number by e-mail.

Delivery may also occur by partial shipments upon prior written notice (including by e-mail) from AALF to the Buyer. In such case, the Buyer shall pay the price of the Products actually shipped and the cost of the corresponding individual shipment. The Buyer must immediately notify AALF of any delivery delay exceeding ten (10) business days. In any event, the Buyer must notify AALF of any delivery delay exceeding thirty (30) business days.

For the Buyer’s security, the carrier will require a signature “upon receipt” at the delivery address. If this is not possible, delivery will not take place. If, upon delivery, the packaging shows any imperfections, it must be opened in the presence of the carrier. The Buyer undertakes to check the goods delivered, including their conformity with the C.O.A. and the condition of the packaging. It is the Buyer’s responsibility to record any packaging anomalies in writing on the carrier’s delivery note.

Each parcel shipped is insured against theft, loss, and damage from the moment AALF delivers it to the carrier until it reaches the final destination. Once delivered to the specified address, the parcel will no longer be insured.

AALF warrants that the Products delivered to the Buyer hereunder shall be free from defects in material and workmanship under normal conditions of use at the time of delivery by AALF to the Buyer. AALF’s warranty does not cover defects caused by improper use or exposure of the Products by the Buyer.

With respect to the quantity delivered and the conformity of the Products received to the specifications set out in AALF’s Confirmation of Acceptance, under penalty of forfeiture, the Buyer must inspect the Products within five (5) business days from the actual delivery date to the Buyer and notify any claims exclusively in writing within such period. If the Buyer fails to inspect or to notify AALF of any defect as provided above, the Product shall be deemed accepted and the Buyer shall waive all rights it might otherwise have had against AALF in relation to such defect.

If the Products are in breach of the warranty granted to the Buyer, AALF shall, at its discretion, repair, replace, or refund the purchase price of the non-conforming Products. The remedy chosen by AALF shall be the Buyer’s sole and exclusive remedy for any reason related to non-conforming Products. If the Buyer exercises the right of withdrawal, AALF shall not be responsible for the return shipping costs, which shall be borne exclusively by the Buyer, in accordance with Article 57, paragraph 1 of the Consumer Code. Packages sent with postage due will not be accepted. The Buyer shall also bear any risk related to the return of the Products, whether loss or damage, unless the Buyer proves that the Products to be returned were handed over to a carrier.

Products may not be returned for any reason without prior written authorization and shipping instructions from AALF. Products shipped without AALF’s authorization will be returned at the Buyer’s expense. With regard to latent defects in Products purchased from AALF, the Buyer shall, in any case and circumstance, notify AALF within five (5) business days, attaching all relevant documentation.
